END USER LICENSE AGREEMENT

This end-user license agreement (“EULA”) is a legally binding agreement between you (a single natural or legal person, hereinafter referred to as “You”) and CR Solutions, LLC (hereinafter “Company”), the owner of the Know My C2 cloud-based pharmacy management software (the "Software") and Know My C2 website (collectively, the “Services").

PLEASE READ THE FOLLOWING TERMS AND CONDITIONS CAREFULLY BEFORE USING THE SERVICES. THE TERMS AND CONDITIONS OF THIS EULA, THE PRIVACY POLICY AVAILABLE AT https://knowmyc2.com/privacy (“PRIVACY POLICY”), AND THE TERMS OF USE, AVAILABLE AT https://knowmyc2.com/terms (“TERMS OF USE”) GOVERN USE OF THE SERVICES. IN THE EVENT OF A CONFLICT BETWEEN THE TERMS OF USE AND THIS AGREEMENT, THE TERMS OF SERVICE SHALL GOVERN.

By clicking on the “I accept” button below or by using the Services, you indicate that you understand this EULA, the Privacy Policy, and the Terms of Use, and accept all of their terms. If you do not accept all the terms of this EULA, the Privacy Policy, and the Terms of Use, then please do not use the Services.

  1. SCOPE OF LICENSE

    Upon the acceptance of this EULA, Company hereby grants to you a limited, non- transferable, non-exclusive, non-assignable, revocable license to download, install and use the Services on any computer, tablet or mobile device (“Device”) that you own or control and as permitted by any third-party agreements related to your Device. This EULA does not allow you to use the Services on any Device that you do not own or control, and you may not rent, lease, lend, sell, redistribute or sublicense the Services. You agree not to attempt to decompile, reverse engineer, or disassemble the Services or otherwise reduce the Software to human readable form. You further agree not to resell, distribute, or allow others to access the Services under your user account. You may not create permanent copies of content from the Services. Failing to follow this provision may subject you to prosecution and damages.

  2. SOFTWARE UPDATES.

    Any future release, update, or other addition to the functionality of the Services, if any, provided by Company (collectively, “Software Updates”) will be subject to the terms of this EULA unless otherwise provided by Company in writing. To keep Your Services up- to-date, Company may, in its discretion, automatically provide you with Software Updates.

  3. MODIFICATIONS

    Company reserves the right, at its sole discretion, to modify, discontinue or terminate this EULA, at any time and without prior notice. If Company modifies this EULA, Company will post the modification at http://knowmyC2.com/EULA. By continuing to access or use the Services after Company has posted a modification to the EULA, you are indicating that you agree to be bound by the modified EULA. If the modified EULA is not acceptable to you, your only recourse is to cease using the Services.

  4. INTELLECTUAL PROPERTY RIGHTS

    As detailed in the Terms of Use, the Software, Services and all worldwide copyrights, trademarks, patents, trade secrets and other intellectual property rights therein (the “Company IP”) are the exclusive property of Company and/or its licensors. You agree that the Company IP is protected by applicable intellectual property and other laws, including but not limited to copyright and trademark, and that you will not use the Company IP in any way whatsoever except as permitted by this EULA, the Terms of Use, and any applicable law. In the event of any third party claim that content you create using the Services infringes on a third party’s intellectual property rights, you accept and acknowledge that Company will not be responsible for the investigation, defense, settlement, and discharge of any such intellectual property infringement claim. Further, in such event, you will defend and indemnify Company against all claims, demands, lawsuits, or other action, including reasonable attorneys’ fees, costs, and damages or payments for settlement of such claims.

  5. NO IMPLIED LICENSE

    Except as expressly provided in this EULA, nothing shall be interpreted as granting you a license to the Company IP. There are no implied licenses in this EULA.

  6. CONSENT TO USE OF DATA

    Our use of your personal information shall be governed by our Privacy Policy (available at https://knowmyc2.com/privacy). By using the Services, you indicate your understanding of and acceptance of Company's Privacy Policy.

  7. USE OF SERVICES

    Company grants you a license to use the Services pursuant to the terms of this EULA, the Terms of Use, and the Privacy Policy. You agree that you will use the Services products for their intended purpose as discussed in the Terms of Use (the "Intended Purpose"), and not for any other purpose. Company reserves the right to terminate your access to and use of the Services in the event you do not use the Services for the Intended Purpose.


    You further agree to use the Services at your sole risk and that Company shall not have any liability to you for content that may be found to be unhelpful, offensive, indecent, or objectionable. To the extent you choose to access the Services, you do so at your own initiative and agree that you are responsible for compliance with any applicable laws and regulations, including but not limited to applicable national laws, state laws, local laws or FDA regulations. Company reserves the right to change, suspend, remove, or disable access to any portion(s) of the Services at any time without notice. In no event will Company be liable for the removal of or disabling of access to any portion of the Services.

  8. DISCLAIMER OF WARRANTIES

    You understand that Company cannot and does not guarantee or warrant that the Services will be free of viruses, worms, Trojan horses or other code that may cause damage or harm to your computer(s) or network(s). You acknowledge and agree that you will be solely responsible for implementing sufficient procedures and checkpoints to protect your computer(s) and network(s), and that you will maintain adequate means of backup of any content or data you enter into the Services. Company further disclaims any responsibility to ensure that any content provided by the Services is complete and up-to-date.


    YOU AGREE THAT YOUR USE OF THE SERVICES IS AT YOUR OWN RISK. THE SERVICES ARE PROVIDED “AS IS” AND WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESSED OR IMPLIED. COMPANY DISCLAIMS ALL WARRANTIES, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT. COMPANY DOES NOT WARRANT THAT THE CONTENT CONTAINED WITHIN THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SERVICES OR THE SERVER THAT MAKES THE SERVICES AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. COMPANY DOES NOT WARRANT OR MAKE ANY REPRESENTATION REGARDING USE, OR THE RESULT OF USE, OF THE SERVICES IN TERMS OF ACCURACY, RELIABILITY, OR OTHERWISE. YOU ACKNOWLEDGE THAT THE SERVICES MAY INCLUDE TECHNICAL INACCURACIES OR TYPOGRAPHICAL ERRORS, AND COMPANY MAY MAKE CHANGES OR IMPROVEMENTS AT ANY TIME. YOU ASSUME THE ENTIRE COST OF ALL NECESSARY SERVICING, REPAIR, LOSS OF DATA OR CORRECTION IN THE EVENT OF ANY LOSS OR DAMAGE ARISING FROM THE USE OF THE SERVICES. COMPANY MAKES NO WARRANTIES THAT YOUR USE OF THE SERVICES WILL NOT INFRINGE THE RIGHTS OF OTHERS AND ASSUMES NO LIABILITY OR RESPONSIBILITY FOR ERRORS OR OMISSIONS IN SUCH CONTENT. YOU FURTHER ACKNOWLEDGE AND AGREE THAT COMPANY IS NOT RESPONSIBLE FOR ANY CONTENT YOU ENTER INTO THE SERVICES.

  9. LIMITATION OF LIABILITY

    COMPANY, ITS SUBSIDIARIES, AFFILIATES, LICENSORS, SERVICE PROVIDERS, CONTENT PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, AND DIRECTORS WILL NOT BE LIABLE FOR ANY INCIDENTAL, DIRECT, INDIRECT, PUNITIVE, ACTUAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR OTHER DAMAGES, INCLUDING LOSS OF REVENUE OR INCOME, PAIN AND SUFFERING, EMOTIONAL DISTRESS, OR SIMILAR DAMAGES, EVEN IF COMPANY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES OR SUCH DAMAGES WERE REASONABLY FORSEEABLE. THIS INCLUDES FEES, FINES, OR OTHER LIABILITY ASSESSED BY ANY LOCAL, STATE OR FEDERAL GOVERNMENT AGENCY OR BODY FOR ANY ACT OR OMISSION WITH ANY CONNECTION TO YOUR USE OF THE SERVICES, HOWEVER REMOTE.


    IN NO EVENT WILL THE COLLECTIVE LIABILITY OF COMPANY AND ITS SUBSIDIARIES, AFFILIATES, LICENSORS, SERVICE PROVIDERS, CONTENT PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, AND DIRECTORS, REGARDLESS OF THE FORM OF ACTION (WHETHER IN CONTRACT, TORT, OR OTHERWISE), EXCEED THE GREATER OF $500.


    PLEASE NOTE SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES OR THE EXCLUSION OR LIMITATION OF INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE LIMITATIONS OR EXCLUSIONS MAY NOT APPLY TO YOU. THIS EULA GIVES YOU SPECIFIC LEGAL RIGHTS, AND YOU MAY ALSO HAVE OTHER RIGHTS WHICH VARY FROM JURISDICTION TO JURISDICTION. THE DISCLAIMERS, EXCLUSIONS, AND LIMITATIONS OF LIABILITY UNDER THIS EULA WILL NOT APPLY TO THE EXTENT PROHIBITED BY APPLICABLE LAW.

  10. INDEMNITY

    You agree to indemnify and hold Company and its officers, directors, employees and licensors harmless from any claim or demand (including but not limited to reasonable legal fees) made by a third party due to or arising out of or related to your violation of this EULA, the Terms of Use and the Privacy Policy, your violation of any laws, regulations or third party rights or your negligent act, omission or willful misconduct.

  11. LEGAL COMPLIANCE FOR EXPORTS

    You represent and warrant that you will not export or re-export the Software and/or Services except as authorized by United States law and the laws of the jurisdiction in which the Software and Services were obtained. You also represent and warrant that the Software and Services will not be exported or re-exported (i) into any U.S. embargoed countries or (ii) to anyone on the U.S. Treasury Department's list of Specially Designated Nationals or the U.S. Department of Commerce Denied Person's List or Entity List. By using the Software and Services, you further represent and warrant that you are not located in any such country or on any such list. You also agree that you will not use the Software and Services for any purposes prohibited by United States law.

  12. USERS OUTSIDE THE UNITED STATES

    The Services are not intended for users outside the United States. You hereby represent and warrant that you are not a user in a jurisdiction that is outside the United States.

  13. TERMINATION

    This EULA is effective until you cease using the Services or the EULA is terminated by Company. Company reserves the right to terminate your rights under this EULA automatically, without notice, if you fail to comply with any term(s) of this EULA, the Terms of Use, or the Privacy Policy. Upon termination, you shall cease all use of the Services, and destroy all copies, full or partial, of the Software.

  14. GENERAL PROVISIONS

    This EULA will be governed by and construed in accordance with the laws of the State of Idaho, without regard to or application of conflicts of law rules or principles. You specifically consent to personal and exclusive jurisdiction by and venue in the state and federal courts of Twin Falls County, Idaho in connection with any dispute between you and Company arising out of or involving this EULA, the Terms of Use, the Privacy Policy, or the Services.


    You may not assign or transfer this EULA or any rights granted hereunder, by operation of law or otherwise, and any attempt by you to do so will be void and of no effect. Except as expressly set forth in this EULA, the exercise by either party of any of its remedies under this EULA will be without prejudice to its other remedies under this EULA or otherwise. All notices or approvals required or permitted under this EULA will be in writing and delivered unreturned by email, to the email below, overnight delivery service, or by certified mail, to Company at the address below, and to you at the contact information you provided the Company with in your KnowMyC2 account. In each such instance notice will be deemed given upon receipt. The failure by either party to enforce any provision of this EULA will not constitute a waiver of future enforcement of that or any other provision. Any waiver, modification or amendment of any provision of this EULA will be effective only if in writing and signed by authorized representatives of both parties. If any provision of this EULA is held to be unenforceable or invalid, that provision will be enforced to the maximum extent possible and the other provisions will remain in full force and effect. This EULA, the Privacy Policy and the Terms of Use are the complete and exclusive understanding and agreement between the parties regarding its subject matter, and supersedes all proposals, understandings or communications between the parties, oral or written, regarding its subject matter.

CR Solutions LLC (“We” or “Us”), the owner of the Know My C2 software and website, knowmyc2.com, offers a way for pharmacies to manage, organize, monitor and review compliance reports for prescriptions from any electronic device (the "Services"). We respect the privacy of the users of our Services.

  1. What Information We Collect About You

    The information we may collect about you is described in this Section, and includes data related to account registration, payment, and security, such as your Pharmacy's name, street address, identifying government identification numbers, credit card information, and email address, as well as information you provide us with voluntarily, such as your additional telephone numbers or email addresses (collectively, the “Personal Information”).

    We may collect Personal Information directly from you, from third parties, or automatically through your use of the Site and Services. The manner in which we collect your Personal Information is more fully discussed, below.



    Information We Collect Directly.

    • If you wish to use the Services, we require you to provide us with your pharmacy's name, street address, NABP/NCDP number, NIP number, the name of the pharmacist in charge of the pharmacy, the telephone number for the pharmacy, the primary email address for the pharmacy, and a master username. We also require you to provide us with your pharmacy's billing address, shipping address, and payment information (either credit card or PayPal).

    • We collect information related to any secondary users you enter into the system, including the name, address, occupation (either pharmacist or technician), contact information, and license numbers for these secondary users.

    • We also collect information you elect to provide us, including your DEA number.

    • Should you choose to directly contact us, we will collect your name and any contact information you may provide us with.

    Information We Collect Automatically.
    • We automatically collect analytic information related to how users use the Services on an aggregate and anonymous basis. We may use Google Analytics to collect this information.

    Information We Collect Passively.
    • We use cookies and other tracking mechanisms to do such things as track information about your use of the Services on an aggregate and anonymous basis so that we may recognize you and your device and improve the Services.

    • Cookies in General. A cookie is a small amount of data, which often includes an anonymous unique identifier, which is sent to your computer or mobile device from the knowmyC2 website, and is stored in your computer or mobile device. For instance, cookies help us understand your preferences based on previous or current Know My C2 activity, which enables us to provide you with a better customer service experience. We also use cookies to help us compile aggregate data about site traffic and site interaction so that we can offer better experiences and tools in the future. These third parties include advertising networks, software developers to improve the Services, secure credit card and e-commerce processing, account analytics, and storage and security companies.

Any access to and use of such Third-Party Links is not governed by this Privacy Policy, but instead is governed by the privacy policies of those Third-Party Links. We are not responsible for the information practices of such Third-Party Links.

  7. Fair Information Practices Compliance

    If a breach of data occurs with our Services, we will notify you via email within 30 business days of discovering the breach.

    You may modify the Personal Information that you have submitted by logging into your account and updating your information.

  9. Do Not Track Signals and Minors

    The Services are for those over the age of 18. We do not knowingly collect or solicit any information from anyone under the age of 13. The Services and their respective features are not directed at children under the age of 13.
